Contributor Licence Agreement

Project Owner: Christian Relf. Effective from the date the Contributor accepts this Agreement.

This Contributor Licence Agreement ("Agreement") governs contributions submitted to projects owned or controlled by Christian Relf ("Owner"). Please read it carefully. Do not submit a contribution unless you agree to these terms.

The authoritative copy is CLA.md in the project repository. The server component, Kern-Cloud-Self-Host, is a separate project under the Apache 2.0 licence.

1. Definitions

"Contribution" means any source code, object code, patch, fix, improvement, documentation, design, asset, or other material that you intentionally submit to the Owner or a project repository for inclusion in, or documentation of, a project.

"Submitted" means sent by pull request, commit, patch, issue attachment, email, or another communication intended for the project.

"You" means the individual or legal entity submitting a Contribution.

2. Copyright Assignment

In consideration of the Owner reviewing, accepting, or using a Contribution in the project, and to the fullest extent permitted by applicable law, you hereby assign to Christian Relf all of your rights, title, and interest in and to each Contribution, including all copyright and other transferable intellectual property rights, throughout the world, for the full duration of those rights and any extensions or renewals.

This assignment includes the rights to reproduce, modify, adapt, combine, publish, distribute, license, sublicense, commercialise, sell, and otherwise use or exploit the Contribution in any medium or for any purpose, subject to applicable law.

You agree to sign further documents and take reasonable actions requested by the Owner to confirm or give effect to this assignment.

The assignment is intended to take effect when you submit the Contribution, to the extent legally effective. If applicable law requires additional formalities, you agree to complete them promptly.

3. Fallback Licence

If, and only to the extent that, any rights in a Contribution cannot legally be assigned under Section 2, you grant the Owner an exclusive, perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free licence, including the right to grant further licences, to use, reproduce, modify, adapt, create derivative works from, distribute, perform, display, commercialise, and otherwise exploit that Contribution for any purpose.

This fallback licence applies to the fullest extent permitted by law and does not purport to transfer rights that you do not own or control.

4. Your Permission to Submit

You represent and warrant that:

  1. You have the legal right and authority to enter into this Agreement and submit the Contribution.
  2. The Contribution is your original work, or you have obtained all permissions necessary to submit it and assign or license the relevant rights as set out here.
  3. To the best of your knowledge, the Contribution does not unlawfully infringe another person's intellectual property or other rights.
  4. You have identified any third-party code, content, or other material included in the Contribution and disclosed its source and applicable licence to the Owner.
  5. You are not knowingly submitting confidential information, trade secrets, or material that you are not authorised to disclose.
  6. If you are submitting on behalf of an employer or another organisation, you have obtained any necessary authority to do so.

You must not submit third-party material under terms that conflict with this Agreement or the project's proprietary licence without the Owner's prior written approval.

5. Moral Rights and Similar Rights

To the extent permitted by applicable law, you agree not to assert moral rights or similar rights in a Contribution against the Owner or anyone authorised by the Owner in a way that would prevent or restrict the uses permitted by this Agreement.

Where a waiver is not legally permitted, you agree, to the extent lawful, to consent to the Owner's use, modification, and exploitation of the Contribution without attribution and without further approval.

Nothing in this section excludes or limits any right that cannot lawfully be waived or consented to in advance.

6. No Right to Reuse the Project

Submitting a Contribution does not give you a licence to reuse, copy, publish, distribute, sell, resell, sublicense, or otherwise exploit the project's existing codebase or materials.

Unless the Owner gives prior express written permission, you may use the project's repository and code only as necessary to prepare and submit Contributions to that project, subject to its licence and repository rules.

You retain ownership of any material you create independently that is not included in a Contribution and does not incorporate or derive from the project's protected materials. This Agreement does not give the Owner rights to unrelated work merely because you contribute to the project.

7. No Compensation or Obligation to Accept

Unless agreed separately in writing, you are not entitled to payment, royalties, or other compensation for a Contribution.

The Owner is not required to accept, merge, publish, maintain, or use any Contribution.

8. No Warranty

Except for the express representations you make in this Agreement, Contributions are provided without any additional warranty, to the fullest extent permitted by applicable law.

9. Governing Law

The governing law and jurisdiction shall be determined by any separate written agreement between you and the Owner or, in the absence of such an agreement, by the applicable rules of law. Nothing in this Agreement excludes mandatory legal protections or rules that apply.

10. Acceptance

By signing, or by using an electronic acceptance process that clearly identifies this Agreement and records your affirmative acceptance, you agree to be bound by its terms.

Do not rely solely on submitting a pull request as proof that this Agreement has been accepted. The project should record each Contributor's acceptance and retain the relevant version of this Agreement.

Acceptance is recorded with the Contributor's full legal name, email address, the project or repository, a signature and the date. The signature block is in CLA.md in the repository.
